SMS Messaging Terms — Ember Job Alerts

1. The Program

Ember Hiring Technologies Inc. ("Ember," "we," "us") operates a text messaging program called Ember Job Alerts. Ember Hiring Technologies Inc. is the sender of record for all Recruiting Agent messages, and Ember is the registered brand for its text messaging program. Messages sent through the program contain job opportunities, application status updates, interview scheduling, and recruiting follow-up related to healthcare staffing, including opportunities offered by Ember's staffing-agency customers. Some messages are conversational: you can reply, and Ember's Recruiting Agent will respond.

The first message in a Recruiting Agent conversation identifies the message as generated by an automated, artificial-intelligence-assisted system.

2. How You Join

Candidates enroll in Ember's text messaging program directly with Ember by providing prior express written consent through Ember's public consent page at https://www.emberhiring.com/sms-consent, or by sending an inbound message to an Ember messaging number.

Consent to receive text messages from Ember is not a condition of applying for or receiving any job, employment opportunity, or staffing service.

Ember retains records of each Candidate's consent, including the date, method, and disclosure language presented.

3. Message Frequency and Cost

Message frequency varies based on your job search activity, your preferences, and available opportunities. Message and data rates may apply. Any charges are billed by your mobile carrier under your mobile plan; Ember does not charge you for the program.

4. Opting Out

You may opt out at any time by replying STOP to any message from Ember. STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, and QUIT are all honored. After you opt out, you will receive one final message confirming that you have been unsubscribed, and Ember will not send you further program messages unless you re-enroll. Opting out applies across Ember's entire text messaging program, regardless of which job, staffing agency, or opportunity a message related to.

6. Your Privacy

Ember's Privacy Policy at https://www.emberhiring.com/privacy describes how we collect, use, and protect your information, and applies to the Ember Job Alerts program.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing with subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

Ember does not sell, rent, transfer, or otherwise make available any Candidate's mobile telephone number, SMS consent, or opt-in data to any staffing agency, employer, affiliate, or other third party for that party's own marketing, promotional, or messaging purposes. Where a Candidate agrees to be presented for a specific opportunity, Ember shares that Candidate's professional profile with the relevant staffing agency for employment consideration only; the Candidate's text messaging consent runs to Ember alone and is not transferred.

7. Eligibility

The program is available only to individuals 18 years of age or older. By enrolling, you represent that you are at least 18 years old, that you are the account holder for the mobile number you provided or have the account holder's permission to enroll it, and that you will notify Ember promptly at support@emberhiring.com if you change or deactivate that number.

8. Carriers and Delivery

Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier and the availability of your device, and is not guaranteed. The program may not be available on all carriers or devices. Ember may change the messaging numbers it sends from without notice.

9. Changes; Suspension

Ember may modify or discontinue the program, or update these SMS Messaging Terms, at any time. When we materially change these terms, we will update the "Last Updated" date above; your continued participation in the program after a change becomes effective constitutes your acceptance of the updated terms. If you do not agree, reply STOP to leave the program.

10. Disclaimer; Limitation of Liability

The program is provided "as is" and "as available," without warranties of any kind, express or implied. Job opportunities described in program messages are offered by staffing agencies and employers, not by Ember, and Ember does not guarantee any placement, interview, or employment outcome. To the fullest extent permitted by law, Ember and its officers, directors, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the program, and Ember's total aggregate liability arising out of or relating to the program will not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

11. Dispute Resolution; Arbitration; Class Action Waiver

Please read this section carefully — it affects your legal rights.

Any dispute arising out of or relating to the Ember Job Alerts program or these SMS Messaging Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. The arbitration will be conducted in the county where you reside or another mutually agreed location, and may be conducted by videoconference. Ember will pay all AAA filing, administration, and arbitrator fees beyond the amount you would pay to file the claim in small claims court.

You and Ember each waive the right to a trial by jury and the right to participate in a class action, class arbitration, or other representative proceeding. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party's individual claim.

Right to opt out: You may reject this arbitration provision by emailing support@emberhiring.com within thirty (30) days of first enrolling in the program, stating your name, your mobile number, and that you opt out of arbitration. Opting out of arbitration does not affect your participation in the program.

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Before filing an arbitration, you agree to first email a description of your dispute to support@emberhiring.com and give Ember thirty (30) days to work with you to resolve it informally.
